By accessing or using soundcheckd ("Service"), operated by soundcheckd ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

soundcheckd is a concert tracking and review platform that allows users to discover, track, rate, and review live music events. Our Service includes mobile applications and web-based platforms that enable users to log concerts they have attended, share reviews with the community, follow other users, and discover new live music experiences.

3. User Accounts

To access certain features of the Service, you must register for an account. When you create an account, you agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information to keep it accurate and complete
Maintain the security of your password and accept all risks of unauthorized access to your account

Your User Content does not contain any defamatory, obscene, offensive, or otherwise objectionable material

Using any automated system to access the Service in a manner that sends more requests than a human can reasonably produce

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

soundcheckd does not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, that any errors or defects will be corrected, or that the Service is free of viruses or other harmful components.

9. Limitation of Liability

IN NO EVENT SHALL SOUNDCHECKD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

10. Indemnification

You agree to defend, indemnify, and hold harmless soundcheckd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
